Who buys Renewables businesses

Who buys Renewable Energy businesses in the UK?

Verdani Capital buys 40% to 100% of owner-managed UK Renewable Energy businesses with £1m to £80m revenue, keeps the team and the name, and runs them for the long term. Energy companies, larger installers and private equity backed platforms are the other buyers in this market.

Renewables has attracted a lot of money in a short time. Some of it is patient. Some of it wants to buy twenty installers, stitch them together and sell the result on. If you built your business one install at a time, it is worth knowing which kind of buyer is on the other side of the table.

We are the patient kind. We own and run a Renewable Energy business ourselves. Armex Energy delivers solar PV, battery storage and energy infrastructure projects, and is the platform for our Renewables group.

Because we are in the market every day, we know how the sector moves when a scheme changes, where good installers come from, and what it takes to keep aftercare promises for years after the install.

Due diligence, in plain terms

What a buyer looks at in a Renewable Energy business

Renewables buyers apply a multiple to sustainable earnings, then test how sustainable those earnings really are. These are the four questions that decide it.

Policy dependence

How much of your work relies on one grant or funding scheme. A mix of funded, privately paid and commercial work is worth more.

Where leads come from

Referrals, repeat customers and trade partners are more durable than bought leads. Buyers look at what each job costs you to win.

Warranties and aftercare

Every install carries promises for years. Buyers want to see claims history, how call-backs are handled and that the cost is provided for.

Certified installers

MCS, consumer code membership and a team with the right qualifications. Capacity to take on more work is part of the value.

After completion

What happens to your team, your name and your customers

They stay with the business. We keep the brand and the team in 99% of our acquisitions, and your customers keep the warranties and aftercare they were promised.

A Renewables brand often carries more local trust than the technology it installs. Homeowners and businesses chose you because someone recommended you. We keep the name on the vans and the website, and the people customers already know keep answering the phone.

Many renewable businesses were built by a founder who still designs the systems, signs off the surveys and handles the difficult customer. We plan how that knowledge is passed on, at your pace, and the experience of a group that already runs renewable businesses is there for the parts you would rather not carry alone. That means operational resources to grow the business and to streamline its operations, systems and processes, as well as capital.

More than capital

The operational resources behind every Renewable Energy business we buy.

Verdani is an operating group, so a business that joins us gets people, systems and finance behind it from day one: operators who have scaled businesses in these trades, a group services company that provides management support and resource, in-house IT and cyber security, and finance leadership that builds the reporting a growing business needs.

Grow

Sales leadership, cross-selling across the group, framework and tender support, and bolt-on acquisitions funded and run by us.

Streamline operations

Scott has led teams of 500+ and scaled a contractor from £20m to £80m. Job costing, scheduling, fleet, procurement and margin discipline, improved from experience rather than from a consultant’s deck.

Systems and processes

Operational technology, IT and cyber security through Verdani Solutions, and the finance systems and monthly reporting we put in so decisions are made on real numbers.

Group support

Verdani Services Limited provides management and resource across the portfolio: HR, compliance, accreditations, insurance and back-office, so your team can concentrate on the work.

None of it is imposed. We agree with you what the business needs, and the team keeps running the business. Meet the people who do this on the team page.

The process

How the sale works

2

Valuation and heads of terms

We ask for three years of accounts and produce an honest valuation. We propose the deal structure, the ownership split and your role after completion, before anything is signed.

3

Completion

Experienced M&A solicitors and our own in-house deal team move it through. You deal with the same people from the first call to the final signature. Most deals complete in 8 to 14 weeks.

Straight answers

Selling a Renewable Energy business, answered.

Who buys Renewable Energy businesses in the UK?

Renewable Energy installers are bought by energy companies, private equity backed platforms, larger installers and operator-led acquirers such as Verdani Capital. Verdani buys 40% to 100% of businesses with £1m to £80m revenue and already runs a Renewable Energy business, Armex Energy, in solar and battery storage.

How much is my Renewable Energy business worth?

Most owner-managed Renewable Energy installers are valued as a multiple of sustainable EBITDA. The multiple rises with a spread of commercial and domestic work, repeat customers and service contracts. It falls when most revenue depends on a single grant scheme or on paid lead generation. A real figure needs three years of accounts.

Does relying on government grants reduce the value of my installation business?

It can, if one scheme drives most of your work, because a buyer has to price the chance that the scheme changes. It does not rule a sale out. A track record of adapting to past policy changes, a healthy commercial pipeline and your own lead sources all reduce that risk and support a better price.

What happens to my MCS certification and customer warranties if I sell?

In a share sale, MCS certification, consumer code membership and your warranty obligations stay with the company, because the company does not change. Some schemes ask to be told about a change of ownership, and we handle that. We also want to see how warranties and aftercare are provided for, so customers keep the cover they were promised.

Can I sell my Renewables business and keep my installers?

Yes. Qualified heat pump, solar and electrical installers are the scarcest resource in the sector, and they are the main reason we buy. Your team keeps the same employer and terms in a share sale, and we retain the team in 99% of our acquisitions.

Do you buy underperforming Renewable Energy businesses?

Yes, where we already operate in the sector, and Renewables is one of them. Verdani has turnaround experience and runs Armex Energy, so we can put real operating support behind an installer that has lost its way. An underperforming Renewable Energy business is worth a conversation. Outside the sectors the group already trades in, we only buy profitable businesses.
